Agreement to these terms

GelTech Labs, Inc. ("GelTech", "we", "us") runs geltechlabs.com (the "site"). By using the site, you agree to these terms. If you use it for an organization, you agree to them for that organization and confirm you can. If you don't agree, please don't use the site.

Our privacy policy explains how we handle personal information.

Instruments, services and quotes

The site describes GelTech's instruments, R&D services and software in development. It doesn't sell them. Each purchase is governed by the written quote or agreement GelTech issues for it, and that document controls if it conflicts with these terms.

Prices, estimates, specifications and availability shown on the site can change and aren't offers. AnGel is in development, and what it includes may change before release.

Scientific and technical content

Articles, charts, method descriptions and specifications on the site are general information for R&D professionals. They aren't professional, regulatory or medical advice, and they don't replace testing your own material under your own conditions. A chart marked illustrative shows the shape of a result rather than measured data.

Where the site names a test standard, such as a USP chapter or an EN or NWSP method, it describes how a GelTech method aligns with that standard. It doesn't mean GelTech or its results are certified by, or affiliated with, the organization that publishes the standard.

Confidential information and ideas

Please don't send confidential or proprietary information, such as formulations, compositions or unpublished data, through the site or by email until a confidentiality agreement is in place. Information you send before then isn't covered by one. When a project needs an agreement, we'll put it in place first.

If you send us suggestions or ideas about our products, we may use them without any obligation to you.

Using the site

You may view, download and print pages from the site for your own information, for teaching, and for your organization's evaluation of GelTech. You may quote or summarize the site with a link to the page you drew on. Search engines and AI services may crawl, index and use the site as its robots.txt allows.

You may not:

• copy, republish or sell the site's content beyond those uses
• use the site in a way that breaks the law or infringes anyone's rights
• try to gain unauthorized access to the site or its systems, or disrupt it, including with malware or heavy automated traffic
• present yourself as GelTech, or suggest GelTech endorses you, without our written permission
• send false information, or someone else's contact details without their permission

Intellectual property

GelTech or its licensors own the site and everything on it, including its text, charts, photographs, video, design and code. Trademarks, logos and product names on the site belong to GelTech or to their respective owners. Apart from the uses allowed above, these terms don't give you a license to any of it.

Links to other sites

The site links to sites GelTech doesn't control, such as LinkedIn. We aren't responsible for their content or practices, and their own terms apply when you use them.

Disclaimer of warranties

We provide the site "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We don't promise the site will be uninterrupted, error-free or free of harmful components.

Any warranty for a GelTech instrument or service is in the agreement that covers it.

Limitation of liability

To the fullest extent the law allows, GelTech and its officers, employees and agents won't be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business, arising from your use of the site, even if told they were possible. Our total liability for any claim arising from the site is limited to US$100.

Some places don't allow these limits, so some of them may not apply to you. This section covers the site only. An agreement for GelTech's instruments or services sets its own limits.

Indemnity

If your breach of these terms or misuse of the site leads to a claim against GelTech, you agree to defend GelTech against it and to cover GelTech's resulting losses and reasonable legal costs.

Governing law and disputes

California law governs these terms and any dispute about the site, without regard to its conflict-of-law rules. Any such dispute will be heard in the state or federal courts in San Diego County, California, and you and GelTech agree to their jurisdiction.

Changes and termination

We may change the site or these terms at any time. The date at the top shows when these terms last changed, and using the site after a change means you accept the new version. We may suspend or end access to the site for anyone who breaks these terms.

Severability, entire agreement and assignment

If a court finds part of these terms unenforceable, the rest stays in effect. If we don't enforce a term, we haven't waived it. These terms and the privacy policy are the whole agreement between you and GelTech about the site, and a separate written agreement governs any purchase. You may not transfer your rights under these terms. GelTech may transfer its rights as part of a merger, acquisition or sale of assets.
